Strukton Groep N.V.

Van Doorne is advising Strukton Groep N.V., a leading Dutch total solution provider in the field of infrastructure and accommodation, in the (contemplated) acquisition of Strukton by Oranjewoud N.V. from NS Groep N.V. of 100% of the shares of Strukton for an amount of EUR 168.1 million.

The contemplated transaction will be financed with available cash, debt financing and a EUR 80 million equity issue, of which EUR 25 million will be placed with Project Holland Deelnemingen B.V. ("Project Holland Fund") through a private placement. 

Oranjewoud N.V. aims to finalise the transaction in the third quarter of 2010, after approval by the relevant competition authorities and its shareholders.
